1. Acceptance of Terms

Welcome to Soymilk. These Terms of Service ("Terms") govern your access to and use of the Soymilk mobile application and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Description of Service

Soymilk is a time management and productivity app with the following features:

3.1 Free Features

All users can access the following features for free:

All Focus Features - Focus timer, Pomodoro-style sessions with customizable durations
All Schedule Management - Create, edit, organize tasks with due dates and priorities
All App Lock Features - Block distracting apps during focus using Apple's Screen Time API
Check-in Feature - Daily check-in to build streaks
Task Plans - Up to 3 planned tasks

3.2 Global Membership Features

Important Notice: AI Assistant features are only available in select regions outside of China. Due to regional regulations, AI features may not be available in all regions. Available regions are displayed in the app.

3.2.1 Lite (Global - Lite)

Focus Statistics - Detailed analysis of focus time, task completion, and productivity trends
Achievement Badge Collection - Unlock and collect achievement rewards
2x Focus Rewards - Ice coin earning rate increased to 2x
Trial AI Assistant - Task suggestions, scheduling help, productivity advice (available only in supported regions)
Unlimited Task Plans - Create unlimited planned tasks

3.2.2 Pro (Global - Pro)

Full AI Assistant - Enhanced AI capabilities, 50 messages per 12 hours (available only in supported regions)
Focus Statistics - Detailed analysis of focus time, task completion, and productivity trends
Achievement Badge Collection - Unlock and collect achievement rewards
3x Focus Rewards - Ice coin earning rate increased to 3x
Unlimited Task Plans - Create unlimited planned tasks

3.3 China Standard Membership

Exclusive subscription plan for mainland China users. AI Assistant features are NOT included:

Focus Statistics - Detailed analysis of focus time, task completion, and productivity trends
Achievement Badge Collection - Unlock and collect achievement rewards
2x Focus Rewards - Ice coin earning rate increased to 2x
Unlimited Task Plans - Create unlimited planned tasks

Note: China Standard Membership does not include AI Assistant features. Specific features and limits vary by membership tier. Current offerings are displayed in the app.

4. Account Registration and Security

4.1 Account Creation

To use certain features of the Service, you must create an account using Apple Sign In. You agree to provide accurate and complete information during registration and to keep your account information up to date.

4.2 Account Security

You're responsible for your account security and all activities under it. You agree to:

Keep your Apple ID credentials secure
Notify us immediately of unauthorized access
Not share your account
Not create multiple accounts to bypass limits

4.3 Account Termination

Delete your account anytime in app settings. When you do:

Account data permanently deleted from servers
Subscription cancelled (no refund for remaining period)
Purchase records anonymized but kept for tax compliance
Local data stays on device until you delete the app or reset

5. Subscriptions and Payments

5.1 Subscription Plans

We offer various subscription tiers with different features and benefits. We clearly distinguish between Global memberships (for users outside China) and China memberships, with different features:

All focus features
All schedule management
All app lock features

Up to 3 planned tasks

5.1.2 Global Memberships

Important Notice: AI Assistant features are only available in select regions. Due to regional regulations, AI features may not be available in all regions.

Lite (Monthly/Yearly) - Focus statistics, achievement badge collection, 2x focus rewards, trial AI assistant (available only in supported regions), unlimited task plans
Pro (Monthly/Yearly) - Full AI assistant (50msg/12h, available only in supported regions), focus statistics, achievement badge collection, 3x focus rewards, unlimited task plans

5.1.3 China Standard Membership

Standard (Monthly/Yearly) - Focus statistics, achievement badge collection, 2x focus rewards, unlimited task plans
Note: China Standard Membership does NOT include AI Assistant features

Note: Prices and specific features vary by region and subscription tier. Current pricing and detailed feature lists are displayed in the app before purchase and may be updated from time to time. AI feature availability depends on your region.

5.2 Payment Processing

All payments are processed through Apple's In-App Purchase system. By subscribing, you agree to Apple's terms and conditions for In-App Purchases. We do not have access to your payment card information.

5.3 Automatic Renewal

Subscriptions auto-renew unless cancelled 24+ hours before period ends. Apple charges within 24 hours before renewal.

Manage subscriptions in iPhone Settings > [Your Name] > Subscriptions.

5.4 Cancellation

Cancel anytime. Takes effect at end of billing period. You keep premium features until paid period ends. No partial refunds.

5.5 Price Changes

We may change subscription prices at any time. Price changes will be communicated to you through the app and via Apple's notification system. If you do not agree to a price change, you may cancel your subscription before the new price takes effect.

5.6 Refunds

All refund requests are subject to Apple's refund policy. We do not provide direct refunds. To request a refund, please contact Apple Support or visit reportaproblem.apple.com.

If Apple approves a refund, your subscription will be immediately cancelled and you will lose access to premium features.

6. User Conduct and Prohibited Activities

Don't:

6.1 Illegal Activities

Use the Service for illegal purposes or violate any laws
Use AI to generate illegal, harmful, or offensive content
Violate others' rights, including intellectual property

6.2 Service Abuse

Circumvent usage limits or subscription restrictions
Create multiple accounts for unauthorized premium access
Share your subscription
Use bots or automated tools

6.3 Security Violations

Attempt unauthorized access to our systems
Reverse engineer, decompile, or disassemble the app
Interfere with or disrupt the Service
Probe or test system vulnerabilities without authorization

6.4 Consequences

We may suspend or terminate your account if you violate these Terms. We may report illegal activities to law enforcement.

7. Intellectual Property Rights

7.1 Our Intellectual Property

We own the Service (content, features, functionality), protected by copyright, trademark, and IP laws. You get a limited, non-exclusive, non-transferable license for personal, non-commercial use.

You may not:

Copy, modify, distribute, sell, or lease any part of the Service
Reverse engineer or extract source code
Remove or alter copyright, trademark, or proprietary notices
Use our trademarks, logos, or brand without written permission

7.2 Your Content

You own all content you create (tasks, notes, personal data). By using the Service, you grant us a limited license to use, store, and process your content solely to provide and improve the Service.

You warrant that:

You own or have rights to your content
Your content doesn't violate third-party rights or laws
Your content contains no malicious code

7.3 AI-Generated Content

AI-generated content is for informational purposes only. You can use AI suggestions, we don't claim ownership. Note that similar content may be generated for other users.

8. Disclaimers and Limitations of Liability

8.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

The Service will be uninterrupted, secure, or error-free
The results obtained from using the Service will be accurate or reliable
Any errors in the Service will be corrected
The Service will meet your specific requirements

8.2 AI Disclaimer

AI-generated content is provided FOR REFERENCE ONLY. You acknowledge and agree that:

AI content may be inaccurate, incomplete, misleading, or unsuitable for your needs
AI content is NOT professional advice of any kind
You MUST review, verify, and evaluate all AI-generated content yourself
You are SOLELY RESPONSIBLE for any decisions or actions based on AI content
AI content may contain errors, omissions, or outdated information

NO LIABILITY: We are NOT LIABLE for any losses, damages, costs, or expenses arising from your use of or reliance on AI-generated content, including but not limited to: financial losses, data loss, missed deadlines, incorrect decisions, or any other direct, indirect, incidental, or consequential damages.

You assume ALL RISKS associated with using AI features and must independently verify all information before acting on it.

8.3 Data Loss

We're not responsible for data loss (tasks, focus sessions, content) stored locally on your device. We strongly recommend:

Regularly backing up your device using iCloud or iTunes
Exporting important data periodically
Not relying solely on the app for critical information

8.4 Third-Party Services

We integrate with Apple Sign In and Alibaba Cloud DashScope. We're not responsible for their availability, accuracy, or reliability. Your use is subject to their terms and privacy policies.

8.5 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Your use or inability to use the Service
Any unauthorized access to or use of our servers and/or any personal information stored therein
Any interruption or cessation of transmission to or from the Service
Any bugs, viruses, or other harmful code that may be transmitted through the Service
Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold us harmless from claims, liabilities, damages, losses, and expenses (including attorneys' fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of third-party rights
Your content submitted through the Service

10. Modifications to the Service and Terms

10.1 Service Changes

We may modify, suspend, or discontinue the Service anytime, with or without notice. We're not liable for any changes.

10.2 Terms Changes

We may update these Terms. When we do:

Update the "Last Updated" date at the top
Notify you through the app if changes are significant
Require you to review and accept if changes materially affect your rights

Continued use after changes = acceptance.

11. Governing Law and Dispute Resolution

11.1 Governing Law

For International Users: These Terms are governed by and construed in accordance with the laws of Canada, without regard to its conflict of law principles.

For Chinese Users: For users in mainland China, we also comply with applicable laws of the People's Republic of China. In case of any conflict between Canadian law and Chinese law, Chinese law shall prevail for Chinese users.

11.2 Dispute Resolution

International Users: Disputes resolved through negotiation first. If that fails, submit to courts of Ontario, Canada.

Chinese Users: Negotiation first. If that fails, submit to appropriate court or arbitration per Chinese law.

11.3 Class Action Waiver

To the extent permitted by law, disputes handled individually only, not as class action.

12. Termination

12.1 Termination by You

You can stop using the Service anytime by:

Deleting your account in app settings
Uninstalling the app
Cancelling your subscription

12.2 Termination by Us

We may terminate or suspend your account immediately if:

You breach these Terms
Required by law
We discontinue the Service
Account inactive for 2+ years

12.3 Effect of Termination

When terminated:

Your right to use the Service stops immediately
Account data deleted or anonymized per our Privacy Policy
You lose access to premium features
No refunds for unused subscription
Some provisions survive (ownership, disclaimers, liability limits)

13. General Provisions

13.1 Entire Agreement

These Terms + Privacy Policy = the entire agreement. Supersedes all prior agreements.

13.2 Severability

If any provision is invalid, the rest remain in effect.

13.3 Waiver

Our failure to enforce a right isn't a waiver of that right.

13.4 Assignment

You can't assign these Terms without our written consent. We can assign freely.

13.5 Force Majeure

We're not liable for failures due to circumstances beyond our control (acts of God, war, terrorism, riots, pandemics, strikes, etc.).

13.6 Export Control

You agree to comply with all export and import control laws.
